Business Code of Conduct
Symphony Communication Public Company Limited has the intention to promote develop and put control for having a good business operating code of conduct. Therefore the company has gathered and complied the business operating conduct and principle including the regulations which are the standard rules of conduct to be used as the guideline for controlling and governance all company employee; board of directors, company managements and all level employee in every function. The company hold the business code of conduct as the subject all company staff has to strictly abide and follow in the same direction across the organization, always adhere to honesty, good merit and moral, trustworthiness and justice in operation.
In accordance with the Royal Address by of His Majesty King Bhumibol Adulyadej on the Occasion of Ramkamhaeng University Graduation Ceremony on 8th July 1977 as following;
“……..to accomplish the work as wish which meant to be benefit and fair, we cannot rely on only knowledge but also need to comprise honesty, trustworthiness and justice……..”
Anti-Corruption Policy
SYMPHONY COMMUNICATION PUBLIC COMPANY LIMITED conducts its business with fairness based on a philosophy that the Company shall demonstrate a keen sense to social responsibility and the best interests of its stakeholders in alignment with the principle of Corporate Governance, SYMPHONY code of conduct, and Stakeholders’ Guidelines.
To ensure that SYMPHONY has a proper policy determining responsibility, guideline, and regulation as a toll to prevent corruption from all business transactions.
SYMPHONY has arranged a written guideline called “Anti-Corruption Policy” in order to prudently make a decision on any course of action that could possibly lead to corruption and to serve as an apparent guideline in performing business and effectively developing to sustainable organization.
Anti-Corruption Definition
Corruption means any types of bribery such as an offer, promise, guarantee, inquire or acquisition on money, asset, or other inappropriate benefits from the government officers, government sectors, private sectors, or responsible person either in direct or indirect action so that such person could proceed or disregard his/her function in order to acquire, retain the business, recommend specific company to entity, or achieve any improper benefits in business transaction. Exception shall be applied in case of laws, regulation, statement, standard, custom, or business traditions enable to do so.
Anti-Corruption Policy
Director, Management Team, and SYMPHONY staff are prohibited from operating or accepting every type of corruption both in direct or indirect manner covering every business and related department in every country. The Anti-Corruption Policy is needed to be reviewed regularly, including with a possible revision of such policy and implementation provision in order to accord with business changes, regulation, standard, and laws.
Role and Responsililities
- The Board of Directors is responsible for determining the policy, monitoring, and forming an effective system supporting Anti-Corruption act in order to affirm that the Management Team intensively concerns, emphasizes, and cultivates Anti-Corruption mindset as the Company’s culture.
- Nomination and Corporate Governance Committee is responsible for considering the anti-corruption policy and propose for the Board of Directors’ approval and review, follow, evaluate the results as stated in the anti-corruption policy regularly to enhance the anti-corruption policy effectively.
- The Audit Committee is responsible for revision of financial and accounting reports, internal control, internal audit function, and risk management so that such operations are concise, appropriate, effective, and conformed to global standard.
- President, SYMPHONY Top Executives, and the Management are responsible for determining Anti-Corruption system, promoting, and encouraging Anti-Corruption manner conveyed to all staff and related parties. This also includes reconsideration on system or regulation in order to best adjust with business changes, regulation, standard and laws.
- Internal Audit Director is responsible for auditing, assessment, and evaluations in business transactions whether they are accurate and complied with guidelines, Approval Authority, standard, laws, and policy in such monitored department in order to assure that the internal controls are sufficient and suitable for probable risk in corruption. This shall be directly reported to the Audit Committee.
Anti-Corruption Guidelines
- The Board of Directors, the Management Team, and SYMPHONY staff in every level must follow with Anti-Corruption Policy and the SYMPHONY Code of Conduct by avoiding involving with any course of corruption in direct or indirect manner.
- SYMPHONY staff shall not be negligent in any corruption conditions involved directly with SYMPHONY. All staff must notify such act to supervisors or responsible person, including collaborate with investigation. Any queries or questions are needed to be consulted by the supervisor or a responsible person who monitors the SYMPHONY Code of Conduct compliance provided in particular channels.
- SYMPHONY shall provide fairness and safeguard staff who denies or informs corruption cases relating to SYMPHONY by applying Protection Policy for appellant or persons who incorporate with Anti-Corruption information as stated in the Whistleblower Policy.
- A person who commits the corruption is equivalent to misconduct in the SYMPHONY Code of Conduct. This means such person is needed to consider discipline followed by SYMPHONY standard. Conviction on laws may be applied in case such act violates the laws.
- SYMPHONY concerns the importance of dissemination, knowledge sharing, and communications with other people who involve or affect SYMPHONY so that those parties shall conform effectively to the Anti-Corruption guideline.
- SYMPHONY strives to create and sustain organization’s culture representing that corruption is unacceptable in every business transaction dealing with both public and private sectors.
Provision in Implementation
- This Anti-Corruption Policy covers to Human Resource Management process staring from recruitment, promotion, training, evaluation, and benefits provided to staff. Every supervisor in every level must communicate to staff in order to apply in business transaction under their responsibility and to monitor such implementation to be the most effective.
- Implementation on Anti-Corruption Policy should be followed by guidelines in the SYMPHONY Code of Conduct, Corporate Governance guidelines, Stakeholders’ Guidelines, standard, every SYMPHONY related operation manual, and additional guidelines which will be formulated afterward.
- To stress the attention on processes which incur a high risk in corruption, the Board of Directors, the Management Team, and the SYMPHONY staff must conform carefully in the following course of action.
- 3.1Gifts, Entertainment and Hospitality: Offering gifts or entertainment and hospitality activities must be complied with the SYMPHONY Code of Conduct.
- 3.2Charitable Contribution or Aid: Granting contribution or receiving the aid must be transparent and in accordance with stipulated laws by confirming that such transaction shall not be claimed as a bribery act.
- 3.3Business Relation and Procurement Process with the Public Sector: All types of bribery or illegal payments are prohibited in all business transactions, SYMPHONY operation, and connection to the government. Such implementation must be preceded transparently and in alignment with related laws and regulation.
Whistleblower System
Symphony Communication Plc. has purpose to initiate the Whistleblower System to report malpractice concerning unlawful conduct, non-compliance with the good corporate governance policy, unethical business practices, corruption, or unethical conduct. This channel does not handle malpractice reports about product or service quality.
All whistleblowers are required to submit factual information and must not incriminate others without sufficient evidence.

The Company integrates risk management into decision-making, strategic planning, work plans, and overall business operations to achieve its strategic goals and objectives.
The Company’s enterprise risk management (ERM) framework is based on the guidelines of the Committee of Sponsoring Organizations (COSO) and is integrated with internal audit processes to ensure operational efficiency and effectiveness. The risk management approach covers all aspects of the Company’s operations, ensuring risks are maintained within acceptable levels.
The Company conducts an annual review and assessment of enterprise risks, considering both existing and emerging risks that may arise due to economic conditions, industry competition, technological and innovation advancements, government policies and regulations, and social and environmental changes that could impact business operations. These risks are analyzed, assessed, and prioritized based on their likelihood and potential impact to formulate appropriate risk management plans. The goal is to maintain risks within an acceptable level (Risk Appetite). For significant risks, particularly corporate risks and emerging risks, they shall be reported to the Chief Executive Officer, the Risk Management Committee, and the Board of Directors on a regular basis to ensure that those risks are actively managed to prevent unforeseen issues and minimize potential losses.

Symphony Communication Public Company Limited (“the Company”) places importance on data and information system security and cybersecurity. We set up a mechanism to create security for information assets to prevent damage to security components in accordance with business requirements and regulations for personnel and related agencies to use as guidelines for their work and prevent information loss, unauthorized disclosure of information and modifying information for use in an illegal way. It consists of 3 parts as follows:
- Confidentiality Information assets can be accessible only to authorized persons.
- Integrity Information assets must be accessible only to authorized persons.
- Availability Information assets must be accessible properly when use is necessary.
To enforce these principles, the Company has established the data classification policy that guides directors, executives, and employees in properly handling and protecting confidential information, especially sensitive data related to the Company and its stakeholders. Additionally, the Company has developed policies, strategies, and guidelines for information security and cybersecurity management, ensuring alignment with legal requirements and good corporate governance practices. These measures include preventive, detection, and response plans to mitigate threats systematically while ensuring business continuity.
Moreover, all data users are required to comply strictly with security policies and usage regulations. Employees receive training on security measures, including awareness programs on information security, fundamental cybersecurity knowledge, and emerging cyber threats. It selects qualified partners based on set standards for inclusion in the Approved Vendor List, ensures price comparisons prior to purchase, and conducts performance evaluations using internationally recognized, auditable criteria. The Company maintains a strict anti-corruption policy and does not tolerate bribery, coercion, embezzlement, or any form of misconduct in dealings with suppliers. Similarly, suppliers must not offer or accept bribes, gifts, or personal benefits of any kind in relation to their dealings with the Company or its employees.
In addition, the Company promotes sustainable relationships with its suppliers by clearly communicating and encouraging compliance with the “Supplier Code of Conduct.” The Company avoids business transactions with any partners found to violate human rights, infringe upon intellectual property rights, or engage in unlawful, unethical, or immoral conduct.

- การบันทึกรายการทางธุรกิจของบริษัทฯ ต้องมีความถูกต้อง ครบถ้วน สามารถตรวจสอบได้ สอดคล้องและเป็นไปตามระเบียบและข้อกำหนดของบริษัทฯ รวมทั้งมีเอกสาร หลักฐาน ประกอบการลงรายการที่ครบถ้วน เพียงพอ และทันเวลา เพื่อให้การบันทึกรายการทางธุรกิจเป็นไปโดยสมบูรณ์ในระบบบัญชี ตลอดจนต้องเป็นไปตามความเป็นจริง ไม่มีการบิดเบือน หรือสร้างรายการเท็จ
- รายการทางบัญชีและการเงินทุกประเภทของบริษัทฯ จะต้องมีความถูกต้อง ชัดเจน มีข้อมูลที่เป็นสาระสำคัญเพียงพอ รวมทั้งมีการเปิดเผยข้อมูลสำคัญอย่างเหมาะสมตามกฎหมายที่เกี่ยวข้องและเป็นไปตามมาตรฐานการบัญชีที่รับรองโดยทั่วไป
- ผู้บริหารและพนักงานของบริษัทฯ ที่มีหน้าที่ความผิดชอบงานบัญชีและการเงิน ต้องตระหนักถึงความรับผิดชอบร่วมกันที่ต้องมีต่อความถูกต้องของรายงานทางบัญชีและการเงิน นอกจากนี้ ผู้บริหารและพนักงานที่เป็นผู้ทำรายการทางธุรกิจมีหน้าที่รับผิดชอบในการจัดเตรียม และ/หรือให้ข้อมูลรายการทางธุรกิจต่างๆ แก่พนักงานที่มีหน้าที่รับผิดชอบงานบัญชีและการเงิน

แนวทางปฏิบัติ
- จัดให้มีการบริหารจัดการด้านภาษีอย่างโปร่งใส เป็นธรรม ตรวจสอบได้ ตามแนวทางที่กฎหมายและระเบียบที่เกี่ยวข้องกำหนด เพื่อให้บริษัทฯ ได้รับสิทธิประโยชน์ทางภาษีที่เหมาะสมและสร้างมูลค่าเพิ่ม เพื่อประโยชน์สูงสุดต่อบริษัทฯ และผู้มีส่วนได้เสียที่เกี่ยวข้อง
- ดำเนินการนำส่งภาษีหรือขอคืนภาษีอย่างถูกต้อง เหมาะสม และภายในระยะเวลาที่กฎหมายหรือ กฎระเบียบที่เกี่ยวข้องกำหนด
- พิจารณาความเสี่ยงด้านภาษีอากร เพื่อให้มั่นใจว่าได้มีการระบุและการจัดการความเสี่ยงด้านภาษีอากร และรายงานไปยังฝ่ายบริหารและหน่วยงานที่รับผิดชอบด้านภาษี เพื่อลดผลกระทบจากความเสี่ยงที่อาจเกิดขึ้นอย่างเหมาะสม
- จัดให้มีการวางแผน ศึกษาและวิเคราะห์ผลกระทบทางภาษีสำหรับโครงการลงทุนต่าง ๆ ของบริษัทฯ ให้เหมาะสมก่อนเข้าลงทุน
- จัดให้มีผู้รับผิดชอบด้านภาษีที่มีความรู้และทักษะด้านภาษี ในการติดต่อและประสานงานกับหน่วยงาน ด้านภาษีของราชการ เพื่อให้ข้อมูลทางภาษีที่ถูกต้องตรงตามข้อเท็จจริงในการดำเนินธุรกิจ รวมถึงการ สร้างความสัมพันธ์และรักษาแนวปฏิบัติที่ถูกต้องตามกฎหมาย
- ส่งเสริมให้ผู้ปฏิบัติงานที่รับผิดชอบภาษีอากรมีความรู้และความสามารถในการปฏิบัติหน้าที่อย่างมีประสิทธิภาพ เพื่อลดความเสี่ยงอันจะก่อให้เกิดความเสียหายกับบริษัทฯ โดยจัดให้ผู้ปฏิบัติงานด้านภาษีได้รับการอบรมด้านกฎหมายภาษีอากรอย่างต่อเนื่อง
- เปิดเผยนโยบายด้านภาษีให้กับผู้มีส่วนได้ส่วนเสีย รวมไปถึงเปิดเผยข้อมูลภาษีเงินได้ในรายงานทางการเงินของบริษัทฯ ตามมาตรฐานการรายงานทางการเงิน เพื่อเสริมสร้างความเชื่อมั่นของผู้มีส่วนได้เสีย
